       John T. Ambrosio is the founding member of the law firm of Ambrosio & Tomczak, concentrating his practice in commercial transactions, commercial litigation and bankruptcy.  Having been admitted to the practice of law in 1987, he has extensive trial and transactional experience, regularly appearing before all State and Federal Courts of New Jersey, and representing clients before various State agencies and local boards. John has represented individuals and business organizations engaged in the collection and disposal of solid and hazardous waste, recycling collection and processing, renewable energy consulting, real estate development, insurance brokerage, real estate brokerage, business brokerage, retail food distribution, trucking and transportation, taxi and limousine services, towing services, construction and demolition services, computer software and hardware vendors as well as many local small businesses.

SOLID WASTE COMPLIANCE AND ENFORCEMENT

       The collection and disposal of solid and hazardous waste in New Jersey is considered a highly regulated industry.  John has more than 20 years experience navigating the complex web of federal, state and local regulations governing this industry.  He has extensive experience assisting clients with government enforcement and compliance issues, solid and hazardous waste licensing and permitting, and transactions between regulated entities.    


CORPORATE AND COMMERCIAL TRANSACTIONS

       John counsels newly formed businesses, rapidly growing companies and owner-managed small and mid-market companies. He understands the unique challenges of new ventures including choice of entity, capital structure, protection of intellectual property and agreements with key employees.  As business grows or responds to rapidly changing environment, John provides assistance in the areas of corporate/entity governance, formation of all types of entities and preparation of charter documents, shareholder agreements, partnership agreements and operating agreements. 


       For mature businesses, he represents clients in all types of commercial transactions including asset purchase agreements, stock sales, commercial real estate transactions and commercial lending.


LITIGATION

       John represents clients in complex litigation involving a wide range of corporate and commercial matters. John has experience in all phases of litigation, both at the trial and appellate levels, in federal district, bankruptcy and state courts throughout New Jersey.  He has represented a broad spectrum of clients, both as plaintiffs and defendants, in cases involving breach of contract, fraud, breach of fiduciary duty, tortious interference, consumer fraud actions, public contract bidding protests, shareholder disputes and real estate disputes. 


       In addition to his commercial litigation experience, John routinely represents individual clients in contract disputes, consumer fraud actions, estate litigation and personal injury litigation. 

CONSUMER BANKRUPTCY

       John has successfully represented individual clients in both Chapter 7 and Chapter 13 proceeding under the United States Bankruptcy laws.  Compassionate and discrete, he understand that financial problems can happen to good families who work hard, and John is dedicated to helping people save their homes and get back on their feet by offering solutions, not just a “quick fix.”    


EXPERIENCE
 

       John graduated cum laude from the Seton Hall University School of Law in 1987 and was admitted to practice before all State and Federal Courts in the same year.  Prior to forming Ambrosio & Tomczak, between 1988 and 1992, John was a Deputy Attorney General with the New Jersey Department of Law & Public Safety, Division of Law where he was assigned to represent the Division of Consumer Affairs, the Bureau of Securities and the New Jersey Department of Environmental Protection.      

       In 1992, John entered private practice with the Law Offices of Gabriel M. Ambrosio, a former New Jersey State Senator, with offices in Lyndhurst, New Jersey. While associated with the Law Offices of Gabriel M. Ambrosio, John not only represented numerous private clients, he was assigned the responsibility of representing the largest publicly-owned sewer authorities in New Jersey and either directly handled or supervised all environmental enforcement litigation under the water pollution prevention laws.  John was also appointed to serve as attorney for the Lyndhurst Board of Adjustments and Lyndhurst Planning Board. Between 1994 and 2004, John handled a broad range of issues involving COAH compliance, transit village designations and development of lands under the jurisdiction of the New Jersey Meadowlands Commission.

       In March 2006, John formed his own practice and has concentrated in the area of providing general corporate and counseling services, litigation services and consumer bankruptcy services.
